CHARTER MEMBERSHIP ADDENDUM

 

This addendum ("Addendum") is made and effective between the Fair Vehicle Leasing Association, Inc. (hereinafter referred to as "FVLA.ORG") and the registrant of this submission, (hereinafter referred to as Charter Member).

The purpose of this Addendum to the Standard Membership Agreement is for FVLA.ORG to recognize special privileges and discounts bestowed upon the Charter Member.

TO WITNESS:

A Charter Member is an original member from the time the Fair Vehicle Leasing Association was founded. FVLA.ORG has reserved one-hundred-thousand (100,000) Charter Membership numbers, which may or may not, be issued from time to time, at the sole discression of the Board or Directors of FVLA.ORG and only for the good of the Members of the Association.

As an introductory fund raiser, ten-thousand (10,000) Charter Memberships will be issued at a price of $49 (USD) with no plan in the foreseeable future to issue any more. The funds raised by the membership drive will be used:

  1. to support and liquefy managed assets to create revenue to fund pre-owned orthodox leases, and/or guarantee pre-owned orthodox lease residuals and services to other member financiers and funders described herein (Action Plan Section).
  2. to implement our online ecumenical university, the Bridge & Gate Edu, and its curicula for auto-economics, pro-se law, corporate crime fighters, the electoral college, and the American Heritage Bar; in which each student and graduate is paid full wages while earning their degree without tuition as decribed in this web site.
  3. to support the membership drive(s), and support and protect our commercial intellectual properties so they are always ready for distribution as needed, and their appraised value is heightened for more fair auto-lease funding, as described in the Essential Technologies Section of this web site.
  4. mostly (~62%) for prizes in exclusive Charter Membership drawings, and hold Charter Member Only events, as described in the Sharing, Contests, & Prizes fold of the Action & Resource Center Section of this web site.

FVLA.ORG has other fund-raising programs running simultaneously and may at its sole descretion, cancel or extend the Charter Membership drive, or allocate more revenue to Charter Membership sharing from other sources during the initial (10,000) drive. Without auxilary revenue, Charter Membership odds for being drawn for one of four (4) Grand Prizes ($50,000) are:

  1. one in twenty-five-hundred (2500:1) in the first round,
  2. one in five-thousand (5000:1) in the second round,
  3. one in seventy-five-hundred (7500:1) in the third round,
  4. and one in ten-thousand (10000:1) in the fourth and final round.

The odds for being drawn for one of the medium prizes ($6,000) are the same; and the odds for being drawn for one of the lesser prizes (at least $24) are one in four (4:1). Early Charter Membership registrants much better odds and can be drawn for multiple prizes of any size.

Winning Charter Members will be required to authorize the proper tax-witholding forms as required by law.

FVLA.ORG reserves the right and may, or may not, hold additional drawings within the first Charter Membership group, and/or enlarge the Charter Membership body, or offer raffles, contests, riddles and prizes to the entire general membership, including standard members, with or without additional cost and the same or different odds.

AND;

Charter Members are exempt from paying transaction fees (currently $49) when obtaining a vehicle for themselves, their spouse, or a household member, through FVLA.ORG managed web sites and services. Other fees may apply as usual when advertising or selling a vehicle through our services.

AND;

Priority is given to Charter Members before standard members for automotive services, college enrollment, employment consideration, business opportunities, or any interest on a daily basis. Priority is given to the first Charter Members with lower numbers before the last charter members to register.

AND;

Charter Members are permited to vote on special interest issues from time-to-time. FVLA.ORG relies on Charter Members' opinions to help establish the future of FVLA under law and under the guidelines of fair leasing. Closed ballots with details of the issue are handed down though your sponsor.

AND;

Up to 1,000 Charter Members can earn 100 shares of ESP Stock (~$2,240) in exchange for evaluation of each of ten commercial intellectual properties after reviewing them on the Financial Page of the Company Book of the ESP Tech World Corp PROSPECTUS. Additional (free) log in required. FVLA.ORG needs the opinion and ESP needs more shareholders to maximize the enterprise value for the most amount of orthodox funding for the members. Issuing shares to members keeps us from selling shares to investors and those with personal interests which probably conflict with our wealth plan. The earned shares may be immediately traded and sold among members on the ESP Corporate Books and sold to the public as soon as the ESP Securities are liquefied through a S.E.C. Regulation A+ IPO, which is also defined in the PROSPECTUS.

THEREFORE:

FVLA.ORG and the Charter Member agree to abide by the Standard Membership Agreement and the terms of this Addendum:

I. At its sole discretion and without notification, FVLA.ORG may suspend activity, including services that have been paid for, to make web site improvements and/or changes, or for any reason deemed necessary at its sole discretion.

II. FVLA.ORG makes no guarantees of success in Charter Membership drawings contests, riddles, raffles, events or voting.

III. This Addendum terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Addendum may be modified by the FVLA.ORG at any time without prior notice and emailed copy of the changed Addendum to the Charter Member. No changes will be made or effected that demean the value or useage of this Charter Membership without consentual agreement and compensation to the Charter Member.

IV. The rights and benefits granted by this Addendum apply to the Charter Member only. It is suggested each person in the Charter Member's realm apply for a personal Standard or Charter Membership to multiply chances of winning and for the fact that driving profiles are different for each person so the Charter Member's driving profile should not be changed to make quotes or purchases for other drivers.

V. No Assignment. Charter Member may not assign their rights under this Addendum or any interest herein without FVLA.ORG's express prior written consent. Consent will be granted as long as the Charter Member and new assignee have a full understanding of benefits, responsibilities and conditions; the Assignee meets the personal/business standards of the Association; and there is no violation of organization rules prior to or after the transfer. If the Charter Membership was sold to the Assignee all proceeds must pass through the FVLA.ORG Treasury, which will be paid in full to the Selling Member as soon as the funds clear the bank.

VI. Severability. If any term of this Addendum is held by a court of competent jurisdiction to be invalid or unenforceable, then this Addendum, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.

VII. Notices. Any notice required by this Addendum or given in connection with it, shall be in writing and shall be given to the appropriate party by personal delivery or by certified mail, postage prepaid, email, or recognized overnight delivery services.

VIII. No Implied Waiver. Either party's failure to insist in any one or more instances upon strict performance by the other party of any of the terms of this Addendum shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any term hereof.

IX. Headings. Headings used in this Addendum are provided for convenience only and shall not be used to construe meaning or intent.

IN WITNESS WHEREOF, the parties have executed this Addendum as of the date first written within the premises of this submission in compliance with Federal & State Law.
